Article I NAME
The name of this organization shall be the Windermere Garden Club.
Article II OBJECT
The object of this club shall be:
- To stimulate a knowledge and love of gardening.
- To aid in protection of native plants and birds.
- To encourage civic plantings.
Article III MEMBERSHIP
Section I: Membership shall be open to those who live in Windermere and vicinity for more than three months of the year.
Section II: Membership of this club shall consist of two classes: a) Active and b) Life.
a) Active Membership: To be eligible for active membership, a member must be interested in gardening and willing to take an active part in the club.
b) Life Membership: To be eligible for Life Membership, an applicant must have been a member in good standing for a minimum of ten years and must be approved by the board. Life Members may be excused from club duties if they wish; they may be active; they may vote.
Article IV OFFICERS
Section I: The officers of this club shall be President, First Vice-President, Second Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer. These officers shall be elected annually and may not serve more than four years in succession.
Section II: Vacancies occurring during the term of office shall be filled by the Executive Board except in the office of the President, which shall be filled by the Vice Presidents, in order of their standing.
Article V EXECUTIVE BOARD
The Executive Board shall consist of the Officers, Chairmen of Standing Committees, and the Advisory Committee, consisting of Past Presidents who have retained active membership.
Article VI ANNUAL MEETING
The annual meeting of the Windermere Garden Club shall be held on the second Thursday of March, the hour and place to be determined by the Executive Board.
Article VII DISSOLUTION
In order to complete the requirements for obtaining a Federal Internal Revenue rating, this club must include the following paragraph in the bylaws: “In the event of dissolution, the residual assets of this organization will be turned over to one or more organizations which themselves are exempt as organizations described in Section 501(c) and 170(cx2) of the Internal Revenue Code, or the Federal, State, or local government for exclusive public purpose.”
Article VIII AMENDMENTS
This constitution may be amended at any annual meeting by a two-thirds vote of members present and voting, four weeks previous notice having been given.
Article IX NON-DISCRIMINATION
The Windermere Garden Club shall not adopt any practice, policy or procedure which would result in discrimination on the basis of gender, race or religion.
