Bylaws

Article I MEMBERSHIP

Section I: The active members shall be limited to 125 members. The number of life members shall be unlimited.

Section II: Members are expected to perform club duties, including participation in program work on committees, acting as hostess, serving in an official capacity when elected.

Article II DUTIES OF OFFICERS

Section I: The President shall preside at all meetings of the club, the meetings of the Executive Board, and shall appoint Chairmen of Standing and Special Committees. She shall be a member Ex-Officio of all committees, except the Nominating Committee. The President shall approve all club bills before they are paid by the Treasurer. The President shall inform all officers of their specific duties at the first Executive Board Meeting.

Section II: The Vice Presidents, in order of their standing, shall perform all duties of the President in her absence or at her request. The First Vice President shall be the Program Chairman. The Second Vice President shall be Membership Chairman, responsible for the publication and distribution of the yearbook which contains the constitution and bylaws, and for notifying the new members of acceptance into the club.

Section III: The Recording Secretary shall keep the minutes of all board, general and special meetings.

Section IV: The Corresponding Secretary shall conduct the regular correspondence of the club. She shall send information and invitations as requested.

Section V: The Treasurer shall be in charge of the funds of the club; from whatever source they may be derived. The Treasurer shall deposit club funds in the name of the Windermere Garden Club in such bank as the Executive Board shall direct. All bills, countersigned by the President, shall be paid by check.  All bills, countersigned by the President, shall be paid by check; except that club member expenses under $10 may be reimbursed in cash at the discretion of the Treasurer. The Treasurer will give a report at each board meeting and each business meeting of the club and an annual financial summary at the end of the fiscal year. Books shall be audited annually. The Treasurer will forward names and addresses of new members to the FFGC Membership Chairman.

Section VI: Each Officer and each Committee Chairman shall make a full report in duplicate at the end of the club year. One copy shall be given to the President and the other shall be delivered to the appropriate incoming Officer or Committee Chairman by June 15 with any applicable books and records.

Section VII: The fiscal year shall be from June 1 to May 31 inclusive.

Article III EXECUTIVE BOARD

Section I: The Executive Board shall meet at least four times a year. Any member unable to attend a Board Meeting must notify the President or Recording Secretary.

Section II: The Board shall be empowered to transact any and all business of the Windermere Garden Club.

Section III: Any project of the club shall have the approval of the Executive Board.

Article IV MEETINGS

Section I: A general meeting shall be held the second Thursday of each month, September through May at 9:30 a.m. at the Windermere Town Hall unless otherwise notified.

Section II: Business or special club meetings may be called at the discretion of the President, or by the President at the request of three Board Members.

Article V DUES

Section I: Dues for members shall be $30 per year. Dues for Life Members shall be $100 for club membership only; National and State dues must be paid annually by the life member if continued National and/or State membership is desired.  Dues from Life Memberships shall be earmarked for a purpose consistent with the objectives of the club.  Yearly dues are due and payable in March and delinquent May 15.  A late fee of $5 will be assessed for dues paid on or after May 15.  Life membership is payable one time only.

Section II: Dues for new members shall be paid when application is accepted.

Section III: From these dues, the Florida Federation of Garden Club’s dues are based on the total paid membership, and shall be paid in June. These dues include a subscription to The Florida Gardener for each member.

Section IV: Nonpayment of dues for three months shall forfeit membership. Membership may be restored with payment of dues, plus $5 delinquent fee.

Article VI NOMINATIONS AND ELECTIONS

Section I: A Nominating Committee of three shall be selected at the February meeting. This committee shall prepare a Nominating Ballot. The President shall appoint the Chairman. Two other committee members shall be elected by the members present and voting at the meeting. The committee shall prepare a slate of officers for the election to be held in March.

Section II: Nomination for officers may be made from the floor if the person to be nominated has been contacted and has given consent prior to the meeting. When there is only one candidate for an office, the election may be by acclamation.

Section III: Installation of officers shall be held at the May meeting.

Article VII QUORUM

Section I: A quorum shall be necessary to transact all business of the club.

Section II: A quorum shall consist of a majority of voting members present.

Article VIII RULES OF ORDER

Section I: Robert’s Rules of Order Revised shall govern the proceedings of this club when applicable and not inconsistent with this Constitution and Bylaws and Standing Rules.
